Negotiation and Due Diligence

Negotiation Services

This service provides organisations with a structured process that facilitates stakeholders resolving disputes, agreeing upon courses of action, bargaining for individual or collective advantage, and/or crafting outcomes which serve mutual interests.

Negotiation is also integral to achieving a successful outcome for strategic sourcing and procurement.

AOT Consulting can assist with the preparation for contract negotiation by creating a customised negotiating strategy — a methodology for achieving the greatest results in the shortest timeframe possible. By understanding your requirements, we are able to enter the negotiation stage with the full knowledge of the contractual requirements, the preferred respondents’ proposals and the key points that need to be negotiated for a successful outcome. This approach provides consistency before, during and after negotiation—from the way our participation in negotiations is announced to how executive-level communications with the successful respondents is prepared.

Our approach to negotiation is quite different – in addition to achieving a successful outcome, the service is also designed to be commercially focussed and aims to avoid adversarial contests to positively position all parties to be ready to move forward.

Due Diligence

Due diligence is designed to examine various elements to provide a level of surety that contractual obligations and undertakings comply with what has been agreed before a contract is executed. This service inherently is designed to provide a risk mitigation control and examines elements such as financial capacity, business operations, tri-partite dependencies, etc.

For financial due diligence we have applied various assessment criteria such as:

  • Income Statement.
  • Balance Sheet – Assets.
  • Balance Sheet – Liabilities.
  • Balance Sheet – Equity.
  • Cash Flow Adequacy.

  • Ratio Analysis – Profitability.
  • Ratio Analysis – Financial Efficiency.
  • Ratio Analysis – Solvency / Liquidity.
  • Gearing.
  • Debt Service Coverage.

In addition, our due diligence service includes assisting with the preparation of testing plans where new or enhanced capabilities such as implementing a new business system needs to be demonstrated as part of the due diligence process.

Dispute Resolution

This service provides a structured process designed to facilitate stakeholders resolving disputes, agreeing upon courses of action, bargaining for individual or collective advantage, and/or crafting outcomes, which serve mutual interests.

As with negotiation services, our approach to dispute resolution is designed to achieve a successful outcome. The service is also commercially focussed and aims to avoid adversarial contests to positively position all parties to be ready to move forward.
